2009- Sanofi-aventis successfully completed its recommended voluntary takeover offer of the Zentiva NV on March 12, 2009. On this day, sanofi-aventis held approximately 97% of Zentiva’s shares and as a result Zentiva became a member of Sanofi-aventis group. Zentiva will now provide a platform for sanofi-aventis to enhance the development of its generics business in CEE region.
- Zentiva was voted the 5th most highly regarded company in the Czech Republic , in a survey of the country’s leading 100 companies.
- April 27, 2009 was the last trading day of Zentiva shares on the Prague Stock Exchange after the cancellation of the listing of the Company’s GDS on the London Stock Exchange which took effect 4 days earlier.
2008- Zentiva was voted the 10th most highly regarded company in the Czech Republic in a survey of the country’s leading 100 companies.
- In May, Zentiva celebrated the birth of one of its most famous brands: the Indulona cream for the protection and care of hand skin. The fact that one of the current products from the Indulona product line has been produced for sixty years according to the same formula indicates the extraordinary position and popularity that the brand enjoys, especially on the Czech and Slovak markets.
- In June, the Company held its AGM. One of the agenda items was the approval of a dividend payment to shareholders of CZK 7.40 per share.
- Starting in May 2008, Zentiva was the subject of offers from two of its largest shareholders, PPF and Sanofi-Aventis. PPF withdrew its offer in July. However, sanofi-aventis, the owner of 25% of Zentiva’s shares at that time raised its original offer price to CZK 1150 per share in September, a price that was then recommended by Zentiva’s Board. At the same time as raising its offer sanofi-aventis also extended its offer period to February 2009.
- Mr. Petr Pokorný, Human Resouces Director, was awarded HR manager of the year in the Czech Republic.
2007- The 2006 Zentiva annual report was selected by the CZECH TOP 100 association in the fall as the fourth best annual report in the Czech Republic. Using 35 criteria, the International Commission placed only the reports of the companies ČEZ, Škoda Auto and Pražská energetika ahead of Zentiva. Our annual report in 2004 placed 27th and in 2005 it was ninth.
- At the beginning of the year Zentiva began preparing and from 1st March started its activities in Hungary. In effect this happened when it took over 23 pharmaceuticals and certain related activities from Sanofi-Aventis.
- Another market that Zentiva has decided to enter is the Turkish market. In March the company announced that it had concluded an agreement to purchase 75 % of shares in the third largest generic manufacturer on the Turkish market, Eczacibaşi Generic Pharmaceuticals. After the transaction has been completed Zentiva will increase its production capacity to 800-900 million drug packages a year.
- For the third year in a row Zentiva has held its third position among the 100 most highly regarded companies in the Czech Republic organised by the Czech Top 100 association. Zentiva finished just behind Škoda Auto and ČEZ in the voting by managers, analysts, economists and representatives of professional organisations who judged, amongst other things, the quality of products and services, financial stability, staffing policy and the company’s approach towards the environment and the public.
- In the middle of the year Zentiva completed activities regarding the takeover of 75 percent of shares in Eczacibaşi Generic Pharmaceuticals and in so doing it extended its activities to Turkey. Part of the process of integrating the company into the Zentiva group will include the introduction of the new Eczacibaşi-Zentiva trade mark.
2006- January saw the completion of the public tender for the acquisition of the remaining share in Sicomed S.A. Zentiva increased its share in this company (renamed to Zentiva S.A.) to 74.9 %.
- In March Sanofi-Aventis acquired 24.9 % of Zentiva shares to become Zentiva's biggest shareholder. Sanofi-Aventis acquired 19.6 % of the shares from the Warburg Pincus funds (the entire remaining share the funds held in Zentiva) and the rest (5.3 %) from some of the Zentiva managers and employees.
- In May we reopened our office building in Prague after an extensive reconstruction. The building was later nominated for the Building of the Year award.
- In June we completed the integration of the Romanian company Zentiva S.A. to the structure of the Zentiva group. The (Romanian) company is now managed in compliance with standards and workflows identical with those applied in the other parts of the group.
- In June the Company held a regular general meeting. One of the agenda items was approval of dividend payments (CZK 9.50 per share).
- September saw Poland climb to third place of all Zentiva's markets, thanks to consistently growing sales. Slovakia, number 3 until then, is now the fourth market in terms of sales volumes.
- Zentiva became the general partner of “I Served the King of England”, a movie seen as a high-quality piece of film art that has a good chance of succeeding, including abroad.
